Terms of Service

By purchasing, downloading, accessing, or using any digital product offered by HumologyPoint LLC ("Company," "we," or "us"), you ("Buyer" or "you") agree to be bound by these Digital Product Terms of Service ("Terms").

These Terms apply to all digital products sold through humologypoint.com, Gumroad, Stripe checkout, or any other authorized sales channel operated by or on behalf of HumologyPoint LLC.

If you are purchasing or accessing a digital product on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to all HumologyPoint LLC digital products, including:

1. AI Launchpad™ Tier 1 — Digital Starter Kit (including self-assessments, foundations guides, governance basics, tool stack guidance, readiness scorecards, templates, implementation resources, and related materials)
2. All future digital products, assessments, templates, playbooks, frameworks, toolkits, scorecards, guides, educational resources, and downloadable materials
3. Governance-support resources and workforce transformation materials
4. AI readiness and organizational adoption materials
5. Any supplemental materials, updates, worksheets, recordings, or companion resources provided with a purchase

Buyer receives a limited, non-exclusive, non-transferable internal-use license only.

Buyer may not:

• use HumologyPoint materials to create competing consulting or training products;
• represent HumologyPoint methodologies as legal compliance certifications;
• rely on any product as a substitute for legal or regulatory review;
• upload proprietary HumologyPoint materials into public AI systems for redistribution, training, or derivative commercialization.

All digital products, frameworks, methodologies, assessments, scorecards, templates, graphics, text, processes, governance materials, educational resources, and related materials offered by HumologyPoint LLC are the exclusive intellectual property of HumologyPoint LLC.

All rights not expressly granted in these Terms are reserved.

The HUMOTECH Integration Model™, AI Launchpad™, HumologyPoint, and related frameworks, methodologies, and concepts are proprietary intellectual property of HumologyPoint LLC.

Purchase of a digital product does not transfer ownership of any HumologyPoint intellectual property.

All digital product sales are final.

Due to the immediately downloadable and accessible nature of digital products, HumologyPoint LLC does not offer refunds after a purchase is completed, regardless of whether the product has been downloaded or accessed.

By completing a purchase, Buyer acknowledges that:

1. Buyer reviewed the product description prior to purchase
2. Buyer understands digital products are delivered immediately upon purchase completion
3. Buyer accepts that all sales are final and non-refundable

Digital products are provided "as is" and "as available" without warranties of any kind, whether express or implied.

HumologyPoint LLC makes no warranty that use of any digital product will result in specific AI readiness outcomes, workforce outcomes, governance outcomes, productivity improvements, adoption improvements, or regulatory compliance.

AI technologies, regulations, governance expectations, and industry standards evolve rapidly. Buyer acknowledges that information contained within digital products may require future adaptation or legal review.

To the maximum extent permitted by applicable law, in no event shall HumologyPoint LLC, its member, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to Buyer's purchase or use of any digital product, even if advised of the possibility of such damages.

HumologyPoint LLC's total aggregate liability arising out of or related to a digital product purchase shall not exceed the total amount paid by Buyer for the specific product giving rise to the claim.

All prices are stated in U.S. dollars. HumologyPoint LLC reserves the right to change product pricing at any time. Prices displayed at the time of purchase are the prices charged for that transaction.

Payment is processed securely through authorized third-party payment processors, including Stripe, Gumroad, or similar providers. HumologyPoint LLC does not store payment card information.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of laws principles.

Any dispute arising under or related to these Terms or any digital product purchase shall first be addressed through good-faith communication directed to hello@humologypoint.com.

If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the state and federal courts located in Mesa County, Colorado.

HumologyPoint LLC reserves the right to update these Terms at any time. Updated Terms will be posted at humologypoint.com with a revised effective date.

Continued use of purchased digital products following any update constitutes acceptance of the revised Terms. For material changes affecting existing purchases, HumologyPoint LLC will make reasonable efforts to provide notice.

Engagements booked and paid through the scheduling system (currently the $295 Business Efficiency Checkup and the $795 Operational Strategy Session) are paid in full at the time of booking, and may be rescheduled or cancelled up to forty-eight (48) hours before the scheduled time.

Fractional COO Advisory is billed monthly in advance on a three-month minimum term, continuing month to month thereafter, terminable by either party on thirty (30) days' written notice.

Travel and related expenses for facilitated sessions beyond Mesa County are quoted separately and billed at cost.
